PureChems Partner Program Terms

1. About these Terms

These Partner Program Terms ("Terms") form a binding agreement between you and PureChems, the operator of the website at purechems.eu identified on our Legal Notice page ("PureChems", "we", "us"). They govern your application to and your participation in the PureChems partner program (the "Program"). By ticking the acceptance box on the sign-up form and submitting your application, you accept these Terms. If you do not accept them, do not apply.

These Terms apply in addition to our Terms of Service, Privacy Policy and Research Use Disclaimer. If they conflict on a matter concerning the Program, these Terms prevail.

2. Definitions

• "Partner" or "you" means the person or company whose application we have approved.
• "Link" means the personal tracked link we give you. "Code" means your personal discount code.
• "Qualifying Order" means an order that meets the conditions in sections 5 and 6.
• "Commission" means the amount you earn on a Qualifying Order under section 5.
• "Partner Account" means your account on Afflo, the platform we use to run the Program.

3. Joining the Program

You must be at least 18 years old, or the age of majority in your country if that is higher, and able to enter into a binding contract. You must give accurate information and keep it up to date. You may hold one Partner Account only. A company must apply through a person authorised to bind it.

We review every application by hand and may accept or decline it at our sole discretion, without giving a reason. Submitting an application does not make you a Partner. Joining is free and there are no fees or sales targets.

4. Your Link and Code

On approval we give you a Link and a Code in your Partner Account. Your Code gives customers 10% off eligible products, unless we tell you otherwise for a specific product or promotion. We may refuse or replace a Code that is offensive, misleading, or that resembles a brand or a person you do not represent. You may not share access to your Partner Account.

5. Commission

You earn a flat Commission of 10% on each Qualifying Order. Commission is calculated on the amount the customer actually paid for products, after all discounts, and excludes shipping, taxes, payment fees and any amount refunded.

An order is credited to you when the customer uses your Code at checkout, or when the customer clicks your Link and places the order within 30 days of that click. If a Code and a Link point to different partners, the Code takes priority. Where several Links were clicked, the last click counts. Each order is credited to one partner only. A later order by the same customer earns Commission only if it meets these conditions again.

Our tracking records decide how an order is credited. If you believe an order was credited wrongly, write to us within 30 days of the order.

6. Orders that do not qualify

No Commission is earned, and any Commission already recorded is cancelled, for an order that is:

• cancelled, unpaid, returned, refunded or charged back, in whole or in part (in part, to the extent of the amount reversed);
• placed by you, by anyone in your household, or by an account or payment method you control;
• flagged as fraudulent, automated or placed for the purpose of generating Commission;
• a test order, or an order we make or authorise for our own purposes;
• obtained through a breach of these Terms.

7. Waiting period and payment

Each Commission is held for 14 days after the order so that cancellations and refunds can be taken into account. After that period it becomes part of your cleared balance. We pay your cleared balance once it reaches €50. A balance below that amount stays in your Partner Account and carries over.

We pay out once a month by bank transfer or in crypto, as you choose in your Partner Account. All amounts are calculated in EUR. Crypto is paid in the currency and on the network we support at the time of payment, at the exchange rate of the day of payment. You are responsible for giving correct payment details. A crypto transfer cannot be reversed, and we are not liable for a payment sent to the details you gave us. Fees charged by your bank, exchange, wallet or network are yours to bear.

If you change your payment details, we may hold your next payout for a short period for security. If an order is reversed after we have paid its Commission, we may deduct that amount from future Commission or ask you to repay it.

You are solely responsible for declaring and paying all taxes and social contributions on your Commission. We may ask for an invoice, tax details or proof of identity before paying, and may withhold payment until we receive them.

8. How you may promote PureChems

All PureChems products are sold strictly for laboratory and in-vitro research use. They are not intended for human or animal consumption and are not medicines, foods or cosmetics. Everything you publish about PureChems must respect this. In particular, you must:

• clearly disclose, in every post, video, page and message, that you are a PureChems partner and earn commission, in the way your country and platform require;
• describe products only as research compounds and use only product facts published on purechems.eu;
• comply with all laws and platform rules that apply to you and to your audience, including advertising, consumer protection, spam, data protection and product-specific rules in your country and in the countries you target;
• keep your own records of your promotions and give us copies if we ask.

You must not:

• make or imply any health, medical, therapeutic, dosing, performance, weight, ageing, cosmetic or results claim, or show or suggest human or animal use, including in testimonials, before and after content, comments or private messages;
• target, or publish on channels directed at, anyone under 18;
• bid on, or use in paid advertising, the words PureChems or any misspelling of them, or our products combined with our name;
• register domains, accounts or handles that contain PureChems or suggest you are PureChems;
• send unsolicited messages, or use bots, fake accounts, fake reviews, incentivised clicks or any method that inflates traffic or misattributes orders, such as forced clicks or cookie stuffing;
• publish your Code on coupon, cashback or deal sites, or offer customers a payment or rebate to use it;
• promise earnings, availability, prices or delivery terms that are not on purechems.eu, or speak on our behalf.

We may ask you to change or remove any content that mentions PureChems. You must do so within 48 hours.

9. Our name and materials

While you are a Partner, we give you a limited, non-exclusive, revocable licence to use the PureChems name, logo and any materials we provide, only to promote PureChems under these Terms and without altering them. All rights remain ours. You keep the rights to your own content and allow us to link to it and to quote it in reviewing your compliance.

10. Your relationship with us

You act as an independent contractor. Nothing in these Terms creates an employment, agency, partnership or joint venture relationship. You may not bind us, accept orders or collect payments for us. The word "partner" is used in its everyday sense only. The Program is not exclusive.

11. Personal data

We handle the personal data in your application and Partner Account as described in our Privacy Policy, in order to run the Program, review your application, track sales, pay you and meet our legal duties. Afflo processes this data for us. Your Partner Account shows order amounts and dates. We do not give you customers' names or contact details. You are responsible on your own account for any personal data of your audience that you collect.

12. Suspension and termination

You may leave the Program at any time by writing to us. We may suspend or end your participation at any time, with or without a reason, and may change or close the Program.

If you leave, or we end your participation without a breach on your part, your Commission that is still in its waiting period remains payable if it clears, and your cleared balance is paid at the next payout if it reaches the minimum payout. If we end your participation because you breached these Terms, or suspect fraud, all unpaid Commission is forfeited, to the extent the law allows, and we may hold payment while we investigate. When your participation ends you must stop using your Link, your Code and our name. Your Link and Code stop working.

13. Changes to these Terms

We may change these Terms, the Commission rate and the Program at any time. We will tell you by email or in your Partner Account at least 14 days before a change that affects you. Changes do not apply to Commission earned before they take effect. If you do not agree, you may leave the Program before that date. If you remain, you accept the change.

14. No guarantee and liability

We make no promise about how much you will earn, or that the website, the tracking or the Partner Account will always be available or free of errors. Examples and calculators on our pages are illustrations only.

To the fullest extent the law allows, we are not liable for indirect or consequential loss, loss of profit or loss of opportunity, and our total liability to you under these Terms is limited to the Commission paid or payable to you in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.

You will compensate us for losses, fines and reasonable costs that result from your content or your breach of these Terms.

15. General

You may not transfer your rights or duties under these Terms without our written consent. If a provision is found invalid, the rest stays in force. If we do not enforce a provision, we do not waive it. These Terms are the whole agreement between us about the Program.

16. Governing law and disputes

These Terms are governed by the laws of the Slovak Republic and by the applicable law of the European Union, without regard to conflict-of-law rules. Any dispute is subject to the jurisdiction of the competent courts, without prejudice to any mandatory rights you have under the law of your country of residence. Before taking any formal step, please write to us so that we can try to resolve the matter directly.
